The Network of Performing Artists Terms & Conditions The Network of Performing Artists (‘NPA’, ‘We’ or ‘Us’) is a service introducing potential clients that wish to hire performing artists ('Clients') to performing artists that wish to be hired by Clients ('Artists'), via emailing Clients with details of Artists potentially suitable for the Clients' forthcoming event(s) (the ‘Service’). The NPA is based at 13a Westland Road, Watford, Herts, WD17 1QR, UK. These terms and conditions apply to the website www.NetworkofPerformingArtists.com (‘Website’) and any replacement sites and use of the website and the Service by any person (Artist or Client) is subject at all times to these terms and c onditions, forming a legally binding agreement between with Us (the ‘Agreement’). 1. Scope of Service and role of NPA. The Service provides contacts between Clients and potentially suitable Artists available for hire. The Service will operate as set out in the Website. The NPA's role is to act as introducer only, and not to recommend, guarantee, warrant, check or in any other way vouch for Artists or Clients. NPA is not obliged to play any part in any relations between Client and Artist after the initial email introduction, and shall not be a party to any contract for hire or any other contract. Clients are responsible for deciding in their own discretion whether and on what basis to hire Artists, and Artists are responsible for deciding in their own discretion whether and on what basis to agree to be hired. We are not obliged to provide any means of Client or Artist support in conjunction with any particular job via the Service. 2. Registration and registered details. Artists and Clients wishing to use the Service must register with Us (unless we decide otherwise), and must provide and maintain (and update promptly when relevant) current, complete and accurate contact and other relevant information as part of such registration. Artists must have, and hereby warrant and represent to Us that they have, valid P.A.T. (Portable Appliance Testing) Electrical Safety Certificates for all/any electrical equipment to be used for any arrangements with Clients, and must also provide proof of Public Liability Insurance (PLI) to Clients on request. Registrants may not, in registering and maintaining their details, impersonate any person. Registered users are responsible for maintaining the confidentiality of the username and password, and We are entitled to treat any use of such details as use by the relevant registered user. 3. User content and information. The information that Artists or Clients post on the Website, or submit to Us as part of registration or otherwise, must be accurate and conform to reality. Any Artist or Client (or other person) posting any content on the Website must have any necessary third party permissions to do so, including explicit permission from any person identified in the content, and from any owners of any intellectual property rights used in the content. Any material posted on the site will be considered non-confidential, and registration details will be used to provide the Service and shared with Artists and Clients as part of that (please see our Privacy Policy for further details). Whilst We may review and delete any content deemed unsuitable, offensive, or in any way a violation of this Agreement, We are not under any obligation to review or monitor user posted or submitted content. Any person posting content on or submitting content to this Website indemnifies us for any claims brought against Us as a result of any such posting. 4. Service Access. The NPA will try to ensure the smooth running of the Service, but we cannot guarantee that from time to time there will be interruptions to the Service, or the Service will remain free of errors. The Service is provided on a commission only basis and so may be discontinued or taken down at any time in our discretion. 5. Fees. We will charge commission from Artists that are hired by Clients for jobs as a result of using the Service ("Hired Artists"), and share these commissions with the Artists that have posted the job ("Unavailable Artists"), as set out in the Website. Hired Artists will pay us these commission fees plus any applicable VAT. These fees are subject to change as posted on the website from time to time. The current agreement is: for a job taken by a Hired Artist, a commission fee of £30.00 is payable by that Hired Artists to Us through the NPA Website (via their registered Paypal account) within 7 days of the completion of the job. The Unavailable Artist who posted the job receives £24.00 via their Paypal account, and the remaining £6.00 is retained by the NPA (including to cover administration and Paypal fees). The Unavailable Artist that posted the job understands that he/she will not get paid if We do not receive full payment from the Hired Artist. Should the Hired Artist fail to pay within this period they will be sent a reminder email from the NPA. Should the Hired Artist fail to pay within 25 days of the completion of the job they will be excluded from the NPA in the future. Should the Client fail to pay a Hired Artist for the job, the due commission fee will be waived (but only until payment is received by the Hired Artist) however We may decide to bar Artists that have persistent collection problems. The NPA is not responsible for any tax or N.I contributions regarding the £24.00 forwarded to the Unavailable Artist. 6. Limitation on Liability. NPA will not be liable or responsible to any Client, Artist (Hired or Unavailable) or any other person for any amount or loss or damage that may result in connection with this Service or this Website. 7. Modifications to this Agreement. The NPA may alter or amend our terms and conditions at any time upon reasonable notice given to our registered users and any use of the Service after such modification shall be deemed to be an acceptance of such modification. 8. Law and disputes. You agree that any disputes arising from this Service and/or this Website will be governed by the laws of England and Wales and handled by the English courts.
